Sky Entertainment and J-Sports -Basic Agreement toward Establishment of the Strongest Sport channel-

Sky Entertainment Corporation (Makoto Sato, President and Representative Director) and J-Sports Ltd. (Ryuichiro Uno, President and Representative Director) have reached a basic agreement to unite sport channel operations of both companies for the purpose of establishing the most powerful sport channel.

The Purposes of Uniting Sport Channel Operations of Both Companies

1) With the advent of the multi-channel-age on full scale, and amidst expectations for even more growth of the industry, we hope to further increase our presence as the most powerful sport channel by effectively utilize the management resources of both companies, and provide our customers with even more complete new services.

2) Both companies have powerful contents such as professional baseball, soccer (J-League, Premier League, Serie A, etc.) and rugby. By combining these contents, we hope to realize even more powerful channels specializing in sports.

With these purposes, both companies will organize a preparation committee on October 1 to consult on the details of content of business, business plan, titles of services, organization of directors, etc. toward the start of new services on April 1 ,2000.

The unification of sport channel operations of both companies at this time will be implemented by the way of capital participation of J-Sports Ltd. with Sky Entertainment, and both companies intend to work as one company in order to establish the most powerful sport channel from now.

4. Ratio of investment : J-sports 3 News corp. , Softbank corp. , Fuji Television network Inc., Sony corp. each 1

5. President / Officers : Undecided But the president will be decided till the end of December in 1999.

6. Employee : 50 persons (planned) except business trustees
